Waise Terms of Use

Last updated: Oct 25, 2026.

1. Who we are and what the service is

Waise is a platform for building and running an online store: the website, the admin, the automations and the assistant, Pulse. The service is provided by the Waise team ("Waise", "we"). Anyone who opens an account and runs a store is a "merchant" ("you").

The service is for businesses. To open an account you must be 18 or older and give accurate details. You are responsible for keeping your password safe and for everything done in your account.

2. The free trial

A new store gets a free 7 days trial. During the trial you can build and publish the whole store, and it can take up to 5 real orders so you can check that everything works. When the trial ends, the store keeps running with a free first month, and monthly billing starts in month two (section 3). If you don't pay, your store is closed temporarily, and everything you built is kept as described in section 5.

3. Prices and payment

Intro price: $1 for your first month, on the Basic plan. The full price starts in month two.

Subscription: a monthly amount set by your plan, plus a fixed amount for each paid order in your store:

PlanMonthly subscriptionPer paid order
Basic$29$0.25, no fee on the first 50 orders each month
Growth$59$0.15
Business$129$0.08
Company$299None

The per-order fee is a fixed amount, not a percentage of the sale. Only orders actually paid through the store are counted. Orders imported from another platform are not counted. The full counting rules are in section 6a. Fees for a given month's orders are collected together with the charge at the end of that month. Prices do not include sales tax or other taxes; where the law requires them, they are added to the charge.

Never a percentage: Waise will not take a percentage of your store's sales, and will not charge an order fee calculated as a percentage of the order amount, on any plan. The fee is always a fixed amount per order, as in the table above.

Annual subscription: 12 months for the price of 10, paid up front at the start of the period. Per-order fees are also charged on an annual subscription, once a month.

Payment method: a credit card, stored by the payment processor that bills on our behalf, not by us. Receipts are sent by our payment processor, Stripe, to your account email, and the charges appear on the "Your Waise subscription" screen.

Price changes: we will email you at least 30 days in advance. A change does not apply to a period you have already paid for. On the "Company" plan, the subscription price is locked for 24 months from the day you joined the plan (fees and allowances are not part of this commitment). The founders' price, offered to the first 50 brands on the "Company" plan and shown when you join, is locked the same way, for 24 months from the day you joined the plan.

Switching plans: you can do this at any time from the subscription screen. The system shows you when another plan would cost you less, based on your orders.

4. Failed payments and suspension

If a charge fails, we will tell you right away by email and in the admin, and we will try to charge again on days 1, 3, 5 and 7, with an email for each try. The store stays open and keeps selling. If the debt is not settled by day 7, editing in the admin is locked; if it is not settled by day 10, the store's checkout switches to "leave your details" until you pay. The store is not closed because of a debt. Paying the debt or updating your card restores everything at once.

5. Keeping your data after suspension or cancellation

A store that has been suspended, or whose subscription was cancelled and whose paid period has ended, is kept for 90 days. During that time you can come back, or ask for all your data as files. After that we may delete the store and its data. An encrypted off-site backup may remain for up to 30 more days after deletion, and is then purged (section 6a).

6. Cancellation

You can cancel at any time with one click on the "Your Waise subscription" screen, with no penalty. The store stays open until the end of the paid period. The cancel screen shows your exact final charge (order and shopper-chat fees for your last period) and its date, then nothing. A period you have already paid for is not refunded, unless the law requires otherwise.

6a. The billing rules in detail

  • Free trial: 7 days, with up to 5 real orders.
  • Intro price and the first month: at the end of the trial you pay $1 to start your first month on the Basic plan. The first month carries no per-order fees. The full price starts in month two. On Growth, Business and Company the first month is free.
  • The monthly charge: the plan's subscription, plus a fee for each order paid in the month that ended, after the orders your plan includes without a fee (amounts in the table in section 3). In addition, $0.25 for each answered shopper-chat conversation beyond your plan's monthly allowance (Basic 50, Growth 100, Business 250, Company 1,000; the Company plan pays it too beyond its allowance). A conversation handed over to a person is not charged.
  • Several plans in one period: if you held more than one plan during a billing period, the whole period is charged at the highest plan you held. The reason: that plan's features were available to you from the moment you switched, so it is paid for the period in which you used it.
  • How orders are counted: an order counts in the period it was paid, even if it is refunded or cancelled later. The exception: an order cancelled within 48 hours of payment is not counted. Orders imported from another platform are not counted.
  • A failed charge: we retry on days 1, 3, 5 and 7. Until day 7 everything carries on as usual; from day 7 editing in the admin is locked, and from day 10 the store's checkout switches to "leave your details" until you pay. The store itself is not closed because of a debt, and your data is kept.
  • Backups after deletion: after a store is deleted, an encrypted off-site copy may remain for up to 30 more days and is then purged.
  • Refunds to shoppers: you refund your store's shoppers yourselves, in your own account with your payment processor. Waise does not refund shoppers. Such a refund does not cancel an order fee that was counted, under the rule above.
  • The "Waise pays for itself" guarantee: if in a given month our automations did not bring back more than you paid us for the subscription that month, we will credit you the month's subscription amount on your next charge. It is measured only on orders our automations brought back: recovered abandoned carts, customers who came back and bought within 7 days of a message from us, and cart upsell offers that added a product. Conditions: (1) it does not apply in your first paid month; (2) the store must be published, with a payment gateway connected; (3) a credit is not given in two months in a row; (4) the credit is a discount on your next charge only, equal to that month's subscription (not order or usage fees), and has no cash value: it is not paid out in cash, not transferable, and lapses if the subscription is cancelled; (5) we may end the offer for new months with 30 days' notice, and a month that began before the notice stays covered; (6) on the "Company" plan the guarantee applies only if your automations stayed on all month and the store had at least 300 paid orders in that month. The other plans have no such condition.
  • Cancelling: one click on the "Your Waise subscription" screen (section 6). No penalty; it shows your exact final charge and its date, then nothing.

7. Your store's payment processing and your money

Waise does not process your customers' payments. The shopper pays the payment processor you chose, under a direct agreement between you and it, and the money goes from it to you. Waise is not a party to that agreement and is not responsible for any delay, hold or fee from the payment processor. On the "no terminal" route (bank transfer, a PayPal link or cash on delivery), you are responsible for checking that the money has arrived before you confirm an order, and for following the terms of use of those services.

8. Your responsibility for your store

You are the seller in your store, and you are responsible for everything in it: products, prices, descriptions, images, shipping, returns, customer service, issuing invoices and receipts to shoppers, and paying taxes. You are responsible for complying with the law of the country where your business operates and of every country you sell to, including consumer protection laws, sales tax and VAT rules, privacy laws (such as the GDPR and the CCPA, where they apply to you), marketing laws for email and text messages (such as CAN-SPAM, the TCPA and CASL), and accessibility requirements (such as the ADA and the European Accessibility Act). Waise prepares templates for store terms, policies and an accessibility statement based on your store's situation — your country, the countries you ship to and your products — but they are templates, not legal advice. Waise is not a party to the sale between you and your buyers and is not responsible for the content of those templates, their accuracy or their suitability for your business; checking and adapting them is your responsibility.

You may not sell or publish on Waise: products whose sale is prohibited or requires a license you do not have, counterfeits, content that infringes the rights of others, offensive or misleading content, or anything meant to deceive shoppers. If we discover such use, we may suspend the store immediately.

9. Your content and data belong to you

The content you upload, your customer list and your orders belong to you. Waise holds and processes them for you, only to provide the service, as described in the Privacy Policy. You give Waise permission to display, store and back up the content in order to run your store. You can download all your data as files at any time.

9a. Restrictions

You may not, and may not allow anyone to: (a) copy, modify, or create derivative works of the Service, its themes, templates, or section designs, except within your own store as the Service allows; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, prompts, models, or underlying ideas of the Service or of Pulse; (c) use automated means (bots, scrapers, crawlers) to access or copy the Service, the demo, or other merchants' stores, other than search engines that follow robots.txt; (d) attempt to extract Pulse's instructions, tool definitions, or configuration; (e) access the Service or its demo in order to build a competing product. Waise embeds identifying marks in its designs to detect copying.

10. Additional services

Recommended providers: when we recommend a provider, Waise may receive a referral fee from it. This does not change your price, and your agreement with the provider is directly between you and it.

Domains: a domain bought through Waise is registered in your name and belongs to you, and renews every year at the price shown before you buy.

Custom builds and premium designs: priced by quote or at the price shown before you buy. A premium design is bought once and used for one store.

Artificial intelligence: text, images and suggestions created with AI are suggestions only. Check them before you publish. Every plan has a monthly usage allowance.

11. Availability of the service

We work to keep the service available and working, and we back up the data off the server every night. An online service can fail, so we do not promise uninterrupted, error-free availability. We will give advance notice of planned maintenance when we can.

12. Limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. In any event, Waise will not be liable for indirect or consequential damage, or for lost sales, profit, customers or goodwill, including damage caused by a suspension for an unpaid debt or for a breach of these terms. To the extent Waise is liable, its liability is limited to the amount you paid Waise in the 12 months before the event.

13. Changes to these terms

We will update these terms from time to time. For a material change we will email you at least 30 days in advance, and continuing to use the service after that date means you accept the change.

14. Governing law and jurisdiction

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from these terms or the service will be brought exclusively in the state or federal courts located in Delaware, and you and Waise consent to their jurisdiction.

15. Contact
